Developer and Marketplace Terms

These Developer and Marketplace Terms govern TravelPerk’s provision/and your use of:

(a)TravelPerk’s set of developer tools, including TravelPerk’s application programming interface (API) or TravelPerk’s software development kit (SDK) (the “Developer Tools”); and

(b) TravelPerk’s marketplace - where customers can benefit from a prebuilt integration between the TravelPerk Platform and a third-party product (the “Marketplace”).

If you are a Customer, your use of the TravelPerk Platform shall be subject to our Standard Business Travel Service Terms (or any other agreement that we may have entered into with you), but these Developer and Marketplace Terms shall govern how you use our Developer Tools or Marketplace to integrate our TravelPerk Platform with your systems or other third-party products.

If you are one of our third-party partners, the general conditions governing the nature of our partnership (including, where applicable, the integration between your application and the TravelPerk Platform) shall be governed by the agreement we have entered into for such purposes, and such agreement shall prevail in the event of any conflict with these Developer and Marketplace Terms.

References to TravelPerk and TravelPerk Platform within these Developer and Marketplace Terms shall carry the same meaning as given to them in our agreement with you.

We may update and change all or part of these Developer and Marketplace Terms at any time. If we update or change these Developer and Marketplace Terms, the "Last updated" date below will be updated to reflect the date of the most recent version. The updated Developer and Marketplace Terms will become effective and binding when posted. We encourage you to review these Developer and Marketplace Terms periodically.

A. THE DEVELOPER TOOLS

Subject to these Developer and Marketplace Terms and our provision to you of credentialed access, we grant you a non-exclusive, non-transferable, revocable, non-sublicensable licence, to access, and use our Developer Tools for the purposes of integrating the TravelPerk Platform with a third-party product.
You will keep all the developer credentials that we provide you confidential and you will not make them available to third parties.
You will work with us to immediately correct any security deficiency and will immediately disconnect any intrusions or intruders. If your solution or systems experience a security deficiency or intrusion, you will coordinate with us on any public statements before publishing them.
When using the Developer Tools, you will comply with the technical documentation, usage guidelines, call volume limits, and other documentation maintained at https://developers.travelperk.com/ or otherwise made available by TravelPerk (together, the “Developer Documentation”, which is expressly incorporated into these Developer and Marketplace Terms by reference). In the event of any conflict between the Developer Documentation and these Developer and Marketplace Terms, these Developer and Marketplace Terms shall prevail.
You will not attempt to bypass the limitations documented in the Developer Documentation. We may change the limitations applicable to the use of our Developer Tools, including the call volume limits, at any time. We will do our best to inform you prior to making changes to these limitations; however, we may not always be able to do so.
You will not use our Developer Tools to build or enhance a competitive product or service, or to integrate the TravelPerk Platform with a product or service that has features or functionalities that are materially similar to those of the TravelPerk Platform.
You permit us the right to audit and perform reasonable testing of the integration you have built using our Developer Tools to ensure that such integration will not adversely affect the performance, functionality and security of the TravelPerk Platform.
You must not use the Developer Tools to provide access to the TravelPerk Platform to any third party who is not a customer of TravelPerk (and who does not have the relevant license or agreement to access the TravelPerk Platform).

B. THE TRAVELPERK MARKETPLACE

Subject to you being an existing customer of the TravelPerk Platform, you can access and browse our Marketplace to enable the connection between the TravelPerk Platform and a third-party product for which a prebuilt integration is currently offered and maintained by TravelPerk.
The availability in our Marketplace of an integration with a third-party product does not mean we endorse, support, or warrant the third-party product.

C. CONDITIONS APPLICABLE TO THE DEVELOPER TOOLS AND THE MARKETPLACE

You will not present yourself as an authorised representative of TravelPerk, or as certified or endorsed partner of TravelPerk, nor use any TravelPerk trademark except when we have agreed so in writing.
These Developer and Marketplace Terms do not grant you the right to distribute or resell the TravelPerk Platform, nor do they create any binding commitment on behalf of us.
You understand and agree that we are not responsible for your engagement with any third-party product. The terms and conditions of a third-party product (regarding your use or receipt of its services) are between you and the relevant provider. Any questions, concerns or disputes that arise out of your use of the third-party product should be addressed with the relevant provider. We assume no responsibility and make no representations with respect to any third-party product (including any responsibility for its availability, accuracy, or security).
Other than as detailed or envisaged in our Developer Documentation, we do not undertake to provide any personal support or maintenance with respect to a specific integration between the TravelPerk Platform and any third-party product.
From time to time, we may make changes to the TravelPerk Platform. TravelPerk does not make any representation that future versions of the TravelPerk Platform will be compatible with any third-party product integrations developed using previous versions.
You will not copy, reformat, reverse-engineer, or otherwise modify the Developer Tools or the Marketplace.
Any personal data sent to the TravelPerk Platform through an integration with a third-party product will be processed by TravelPerk in accordance with the data processing agreement (or equivalent provisions governing the processing of personal data) that we have entered into with you (or the customer who you are acting on behalf of).
You will always use and have in place, appropriate administrative, physical, and technical safeguards that:
1. meet or exceed industry standards with respect to the sensitivity of the data you are accessing or providing through the integration between the TravelPerk Platform and a third-party product;
2. are compliant with applicable laws and regulations (including data security and privacy laws and regulations); and
3. are designed to prevent unauthorised access, use, processing, storage, destruction, loss, alteration, disclosure of your data.
You represent and warrant that:
1. by accessing and transferring content between the TravelPerk Platform and a third-party product, such action will not conflict with any of your existing agreements;
2. the terms and conditions that apply to your use of any relevant third-party product permit its integration with the TravelPerk Platform, and therefore such action shall not violate or constitute the infringement of any intellectual property right, right of privacy, right of publicity or other proprietary right, or any applicable laws.
You will indemnify, defend and hold TravelPerk harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, referred to here as a "Claim") brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) to the extent that such Claim is based upon or arises out of:
1. your noncompliance with or breach of these Developer and Marketplace Terms; or
2. any misuse of any relevant third-party product or data (including your breach of terms governing the same).
  Where able, we shall endeavour to: promptly notify you in writing upon becoming aware of any such Claim; give you sole control of the defence or settlement of such a Claim; and provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defence or settlement of the Claim. You shall not accept any settlement that (i) imposes an obligation on us, TravelPerk (ii) requires us to make an admission, or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.
We and our affiliates and agents make no representations or warranties about the suitability, reliability, availability, timeliness, security or accuracy of the Developer Tools, the Marketplace or the integration between a third-party product and the TravelPerk Platform. To the extent permitted by law, the Developer Tools, the Marketplace and any integration between the TravelPerk Platform and a third-party product are provided "as is", without warranty or condition of any kind, and we disclaim all implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement.
We can modify, remove access to, or discontinue our Developer Tools or the integration with a third-party product within our Marketplace at any time, without notice, and at our sole discretion.
